Introduction

This End User License Agreement("Agreement") is a legal agreement between you("Licensee"), either an individual or an entity, and Colate LTD.("Licensor") for the use of the software product "Cocreate"("Software"). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not use the Software.

License Grant

Licensor grants you a personal,non-exclusive, non-transferable, limited license to:

·      Use: Install and use one copyof the Software on a single computer or device for your personal or businessuse. If you wish to use the Software on more than one computer or device, youmust purchase an additional license for each additional use.

·      Network Use: If the Software islicensed for network use, you may install and use the Software on a singleserver for use on a single network, provided the number of concurrent usersdoes not exceed the number of licenses purchased.

Backup Copy: Create one backup copy of theSoftware, which may only be used for archival purposes.

License Restrictions

You may not:

·      Modify, adapt, translate,reverse engineer, decompile, or disassemble the Software.

·      Rent, lease, lend,redistribute, or sublicense the Software.

·      Remove or alter any trademark,logo, copyright or other proprietary notices, legends, symbols or labels in theSoftware.

·      Use the Software for anyillegal purpose or in any manner inconsistent with this Agreement.

We may update this Privacy Policy from time to time. If we make material changes, we will notify you by email or by posting a notice on our website.

Intellectual Property

All rights, title, and interest in and tothe Software, including all copyrights, trademarks, and other intellectualproperty rights, are owned by Licensor or its licensors. The Software islicensed, not sold, to you.

‍Updates and Upgrades

Licensor may provide updates or upgrades tothe Software. These may be automatically downloaded and installed. By using theSoftware, you agree to automatically receive such updates. Upgrades mightrequire you to accept new terms of this Agreement or an additional agreement.

Termination

This License is effective until terminated.Licensor may terminate this Agreement at any time if you breach any of itsterms. Upon termination, you must cease all use of the Software and destroy allcopies, full or partial, of the Software.

Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS"WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, LTDLUDING, BUT NOTLIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULARPURPOSE, OR NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE FUNCTIONSCONTAINED IN THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OFTHE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BYAPPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY SPECIAL, LTDIDENTAL,INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (LTDLUDING, WITHOUT LIMITATION,DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESSINFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF ORINABILITY TO USE THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITYOF SUCH DAMAGES.

Governing Law

This Agreement shall be governed by andconstrued in accordance with the laws of the State of California, USA, withoutregard to its conflict of law provisions.

Export Regulations

Licensee agrees to comply fully with allrelevant export laws and regulations of the United States ("U.S."),United Kingdom (“U.K.”) and other applicable jurisdictions to ensure thatneither the Software, nor any direct product thereof, are exported, directly orindirectly, in violation of applicable laws.

Privacy Policy

Use of the Software may be subject toLicensor's Privacy Policy, which describes how Licensor collects, uses, andshares information about you. By using the Software, you consent to suchprocessing and you promise that all data provided by you is accurate.

 

Third-Party Software

The Software may include third-partysoftware components. The use of such components is governed by the terms of thethird-party licenses found in the Software or accompanying documentation.

 

General Provisions

·      Severability: If any part ofthis Agreement is found void and unenforceable, it will not affect the validityof the balance of the Agreement, which shall remain valid and enforceableaccording to its terms.

·      Entire Agreement: ThisAgreement constitutes the entire agreement between you and Licensor regardingthe Software and supersedes all prior or contemporaneous understandingsregarding such subject matter.
